Payment Terms & Conditions for Schools & Academies

These terms and conditions govern the payment obligations between you, hereafter referred to as ‘Client’, and School Admission Appeal Specialists for services agreed upon and provided. By engaging in business with School Admission Appeal Specialists, the Client agrees to adhere to the following terms.

Quote for Service(s)

1. Clients will engage School Admission Appeal Specialists setting out the service(s) required.

2. School Admission Appeal Specialists will provide a quote for the service(s) requested based on the charging structure detailed on the School Admission Appeal Specialists website, as detailed on the 'Parents' and 'School' links above.

3. Once agreed, a formal offer will be issued to the Client in writing for them to accept.

Payment Terms:

4. The Client agrees to make payment for invoices issued by School Admission Appeal Specialists within 30 calendar days from the date of the invoice, unless otherwise agreed upon in writing by both parties.

5. Payment shall be considered received when it is received in full and cleared into School Appeal Specialists’ designated bank account (details provided below and included within invoices).

Invoices:

6. School Admission Appeal Specialists shall issue invoices to Clients for services provided within 7 calendar days of the service agreed upon being provided and in accordance with the agreed terms and conditions.

7. Invoices shall include all necessary details such as the description of service(s) provided, quantity, price, taxes (if applicable), and payment terms.

Late Payments:

8. In the event that payment is not received within the stipulated 30 calendar days, the Client shall be deemed to be in default.

9. A late payment fee of 10% of the total gross invoice bill will be charged for overdue invoices, compounded monthly until the outstanding balance is settled in full.

Disputed Invoices:

10. Any disputes regarding an invoice must be raised by the Client in writing within 7 calendar days from the date of receipt of the invoice.

11. Pending the resolution of a disputed invoice, the undisputed portion of the invoice must be paid by the due date detailed on the invoice.

Method of Payment:

12. Payments shall be made in the currency stated on the invoice.

13. Accepted methods of payment include bank transfer, cheque, PayPal or any other method agreed upon by both parties in writing.

Taxes:

14. Clients are responsible for any applicable taxes, levies, or duties imposed by governmental authorities in relation to the services provided by School Appeal Specialists.

Confidentiality:

15. All business and financial information exchanged between School Admission Appeal Specialists and Clients shall be treated as confidential under relevant Data Protection Law and shall not be disclosed to any third party without prior written consent by both parties.

Cancellation of service(s) agreed upon:

16. If at any point the agreed services are no longer required, no payment shall be required if written notice of the cancellation is provided to School Admission Appeal Specialists at least 8 calendar days before the date agreed for the service(s) to be provided; [e.g. if the service(s) agreed are due to be provided on 14/04/24, written notification of cancellation would be required by no later than 06/04/24 to ensure that no payment is due].

17. However, subject to (13) above, any notification of cancellation received after the 8 calendar days will be subject to a 20% charge of the total gross amount previously agreed between both parties for the service(s) agreed upon; [e.g. if services agreed upon amounted to £,2500 and written notification of the cancellation is not received at least 8 calendar days prior to the date the service(s) were due to be provided, the Client would be required to pay £500 – 25% of £2500 in line with the Terms and conditions as set out within this document].

Amendments:

18. These Terms may be amended or modified by the Company at any time. Clients will be notified of any changes in writing.

19. If the service(s) originally agreed upon, under No. 2 of this document, are reduced in any way, a revised quote / invoice will be issued and agreed upon as long as written notification is received at least 8 calendar days before the date agreed for the service(s) to be provided.

20. If any reduction(s) in service(s) previously agreed upon under No. 2 of this document, are required and insufficient notice is provided (i.e. less than 8 calendar days’ notice is provided), the invoice issued will reflect the original quote as detailed in No. 2 of this document.

21. If the service(s) originally agreed upon, under No. 2 of this document, are increased in any way at any point preceding the date agreed for the service(s) to be provided, a revised quote will be provided by School Admission Appeal Specialists in writing to be agreed by both parties prior to the service(s) being provided.

Governing Law and Jurisdiction:

22. These Terms shall be governed by. and construed in accordance with. U.K. Law. Any disputes arising out of, or in connection with, these Terms shall be subject to the exclusive jurisdiction of U.K. courts.

Severability:

23. If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed from the Terms, and the remaining provisions shall remain in full force and effect.

Insurance / Liability:

24. The Client(s) accepts responsibility to ensure that, for in-person training, the agreed venue has sufficient and suitable liability insurance in place to cover the venue for the purpose of the service(s) being provided.

25. The Client(s) accepts responsibility for ensuring that the agreed venue for in-person training, along with any equipment required to deliver the agreed service(s), is suitable and complies with Laws and requirements as stipulated within Acts governing Health and Safety, Fire Evacuation, the Equality Act 2010 and any other such Laws or Acts as reasonably expected in order for the agreed service(s) to be provided in a lawful and safe manner.

26. School Admission Appeal Specialists will not accept any liability arising from any accidents or incidents which may occur during, or as part of, the service(s) being delivered.

Acceptance of these Terms and Conditions:

By engaging in business with School Appeal Specialists, Clients hereby confirm that they have read, understood and agreed to abide by these Terms and Conditions for Business Payments within 30 Calendar Days.
